Our mission is to build meaningful connections with the people you meet in real life. Our services are designed to safely foster connection between people so that they can exchange ideas, learn, and find new, trusted relationships.
(Summary point): When you use our Services, you agree to all of these terms. Your use of our Services is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information.
You agree that by clicking “Join Now,” “Join Soco,” “Sign Up,” or similar, registering, accessing, or using our services described below, you are agreeing to enter into a legally binding contract with The Soco App Corp. (“Soco”). If you do not agree to this contract (“Agreement,” “User Agreement,” or “Contract”), do not click “Join Now” or similar and do not access or otherwise use any of our Services. If you wish to terminate this Contract, at any time you can do so by closing your account and no longer accessing or using our Services.
This Contract applies to thesocoapp.com and Soco-branded apps. Registered users of our Services are “Members” and unregistered users are “Visitors.”
You are entering into this Contract with Soco, also referred to as “we,” “us,” and “our.”
(Summary point): This Contract applies to Members and Visitors.
As a Visitor or Member of our Services, the collection, use, and sharing of your personal data is subject to our Privacy Policy and any other documents referenced in our Privacy Policy.
When you register and join Soco, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”
(Summary point): We may make changes to this Contract.
We may modify this Contract, our Privacy Policy, Community Guidelines, and other policies from time to time. If we make material changes, we may provide you notice through our Services or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we publish or send a notice about changes to these terms means that you are consenting to the updated terms as of their effective date.
(Summary point): You are eligible to enter into this Contract and you are at least our “Minimum Age.”
The Services are not for use by anyone under the age of thirteen (13).
To use the Services, you agree that: (1) you are at least the “Minimum Age” described below; (2) if you are under the age of majority in your jurisdiction, you have permission from your parent or legal guardian to use the Services; (3) you will only create and use one Soco account for yourself; and (4) you are not already restricted by Soco from using the Services.
Creating an account with false information, creating an account on behalf of another person, impersonating another person, or creating an account for a person under the age of thirteen (13) is a violation of these Terms.
“Minimum Age” means thirteen (13) years old. However, if applicable law requires that you must be older in order for Soco to lawfully provide the Services to you without parental consent, including for the use of your personal data, then the Minimum Age is such older age.
If Soco learns that a user is under the age of thirteen (13), or that a user is otherwise not eligible to use the Services, Soco may suspend, restrict, or terminate the account and may delete the user’s information, subject to applicable law and our Privacy Policy.
(Summary point): You are responsible for your account and agree to follow our rules and the law.
Members are account holders. You agree to:
(1) provide a first and last name and keep your account information updated;
(2) use a first and last name of your choosing, provided that you do not impersonate another person, mislead others, or violate these Terms;
(3) use strong passcodes and security measures for your mobile devices and keep them confidential;
(4) not transfer any part of your account, including your connections or messages, to anyone else; and
(5) follow the law, these Terms, and our community policies.
You are responsible for anything that happens through your account unless you close it or report misuse.
(Summary point): You’re okay with us providing notices and messages to you through our websites, apps, and contact information. If your contact information is out of date, you may miss important notices.
You agree that we will provide notices and messages to you in the following ways: (1) within the Services, or (2) sent to the contact information you provided us, such as email, mobile number, or physical address. You agree to keep your contact information up to date.
(Summary point): Soco helps users connect with people they meet in real life while limiting what contact information is natively shared through the Services.
The Services allow Members to connect with other Members based on close proximity and mutual approval. After a mutual connection is made, Members may communicate with each other through Soco’s in-app messaging feature.
Soco asks Members to provide a first and last name. Unless additional features are made available and you choose to use them, other Members will only be able to see the first and last name you provide in the Soco Application.
Soco does not provide a native feature for Members to exchange phone numbers, email addresses, or social media profiles as part of the mutual connection process. However, Members may choose to share information with each other through in-app messaging. You are responsible for the information you choose to send or disclose to other Members.
You agree not to use the Services to pressure, manipulate, coerce, or mislead another person into sharing personal information, including phone numbers, email addresses, addresses, social media profiles, private messages, or other identifying information.
Soco may provide safety, reporting, blocking, and moderation tools. We may review, restrict, remove, suspend, or block accounts, messages, or activity that we believe may violate these Terms, our community policies, or applicable law, or that may create a safety risk for Members or others.
We are not obligated to publish, transmit, store, or display any information, content, account, message, or activity on the Services and may remove or restrict it with or without notice.
(Summary point): You own the information you provide to us, but you grant us permission to use it to provide, operate, improve, protect, and promote the Services.
As between you and Soco, you own the content and information that you submit or provide through the Services. You grant Soco and our affiliates a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, host, store, copy, process, transmit, display, and distribute your content and information as reasonably necessary to provide, operate, improve, protect, and promote the Services, subject to these Terms, your settings, our Privacy Policy, and applicable law.
These rights are limited in the following ways:
You can end this license for specific information by deleting such information from the Services, or generally by closing your account, except: (a) to the extent you shared it with others as part of the Services and they copied, stored, or retained it; (b) to the extent Soco is required or permitted to retain it by law, for safety, security, fraud prevention, dispute resolution, or legitimate business purposes; and (c) for the reasonable time it takes to remove it from backup and other systems.
Soco may display, promote, or deliver advertisements, sponsored content, partner content, announcements, offers, or other promotional messages in or through the Services. This may include promotional content shown near, alongside, or within features of the Services. We will not use your name, likeness, or personal content in third-party advertising outside the Services without your separate consent, except as permitted by law and our Privacy Policy.
You and Soco agree that if content or information includes personal data, it is subject to our Privacy Policy.
You and Soco agree that we may access, store, process, and use information and personal data that you provide in accordance with our Privacy Policy, your choices, and applicable law.
By submitting suggestions, ideas, or other feedback regarding the Services to Soco, you agree that Soco can use and share such feedback for any purpose without compensation to you.
(Summary point): You promise to only provide information and content that you have the right to share, and that your Soco profile and information will be truthful.
You agree to only provide content or information that does not violate the law or anyone’s rights, including intellectual property rights, privacy rights, and publicity rights. You also agree that your account information will be truthful and not misleading. Soco may be required by law to remove certain information or content in certain countries.
We may change, suspend, or discontinue any of our Services.
We don’t promise to store or keep showing any information and content that you’ve shared. Soco is not a storage service. You agree that we have no obligation to store, maintain, or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.

(Summary point): Others may offer their own products and services utilizing our Services, and we aren’t responsible for those third-party activities.
By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. Soco does not guarantee the accuracy or completeness of information provided by our Members, Visitors, or others. You agree that we are not responsible for others’ content, information, conduct, or communications. We cannot always prevent misuse of our Services, and you agree that we are not responsible for any such misuse.
Soco reserves the right to limit your use of the Services, including the number of your connections and your ability to contact other Members. Soco reserves the right to restrict, suspend, or terminate your account if you breach this Contract or the law, misuse the Services, create a safety risk, or are otherwise ineligible to use the Services.
Soco reserves all of its intellectual property rights in the Services. Trademarks and logos used in connection with the Services are the trademarks of their respective owners. Soco and its logos, trademarks, service marks, graphics, and logos used for our Services are trademarks or registered trademarks of Soco.
Soco may use information and data you provide, along with proximity-based signals and activity within the Services, to suggest potential connections and support the functionality of the Services. For example, Soco may use close proximity between Members to help identify people you may have met in real life. Keeping your account information accurate and your app enabled helps make these features work as intended.
Soco may work with event hosts, schools, organizations, sponsors, or other partners to support events, programs, promotional opportunities, or features made available through the Services. Unless otherwise disclosed to you, Soco does not provide third-party partners with direct access to all Members’ personal account information. Any collection, use, or sharing of personal information is subject to our Privacy Policy.
(Summary point): This is our disclaimer of legal liability for the quality, safety, or reliability of our Services.
SOCO AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES, INCLUDING CONTENT AND INFORMATION, ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, SOCO AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR LOSSES THAT MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. THIS INCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE OR THE NEGLIGENCE OF OUR EMPLOYEES, AGENTS, OR SUBCONTRACTORS, AND FOR FRAUD OR FRAUDULENT MISREPRESENTATION.
SUBJECT TO THE PARAGRAPH ABOVE, WE SHALL NOT BE LIABLE TO YOU FOR:
(I) ANY LOSS OF PROFIT, WHETHER INCURRED DIRECTLY OR INDIRECTLY;
(II) ANY LOSS OF GOODWILL;
(III) ANY LOSS OF OPPORTUNITY;
(IV) ANY LOSS OF DATA SUFFERED BY YOU; OR
(V) ANY INDIRECT OR CONSEQUENTIAL LOSSES WHICH MAY BE INCURRED BY YOU.
WE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU AS A RESULT OF:
ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY, OR EXISTENCE OF ANY ADVERTISING, PROMOTION, SPONSORSHIP, OR PARTNER CONTENT, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER, SPONSOR, PARTNER, OR THIRD PARTY WHOSE CONTENT APPEARS ON OR THROUGH THE SERVICES;
ANY CHANGES WHICH WE MAY MAKE TO THE SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES OR ANY FEATURES WITHIN THE SERVICES;
THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE ANY CONTENT, MESSAGES, OR OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES;
YOUR FAILURE TO PROVIDE US WITH ACCURATE ACCOUNT INFORMATION; OR
YOUR FAILURE TO KEEP YOUR ACCOUNT SECURE AND CONFIDENTIAL.
PLEASE NOTE THAT, UNLESS EXPRESSLY AUTHORIZED BY SOCO, THE SERVICES ARE PROVIDED FOR PERSONAL, NON-COMMERCIAL USE. YOU AGREE NOT TO USE THE SERVICES FOR COMMERCIAL OR BUSINESS PURPOSES WITHOUT EXPRESS WRITTEN PERMISSION FROM SOCO, AND WE HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, LOSS OF GOODWILL OR BUSINESS REPUTATION, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY.
IF DEFECTIVE DIGITAL CONTENT THAT WE HAVE SUPPLIED DAMAGES A DEVICE OR DIGITAL CONTENT BELONGING TO YOU AND THIS IS CAUSED BY OUR FAILURE TO USE REASONABLE CARE AND SKILL, WE WILL EITHER REPAIR THE DAMAGE OR PAY YOU COMPENSATION. HOWEVER, WE WILL NOT BE LIABLE FOR DAMAGE THAT YOU COULD HAVE AVOIDED BY FOLLOWING OUR ADVICE TO APPLY AN UPDATE OFFERED TO YOU FREE OF CHARGE OR FOR DAMAGE THAT WAS CAUSED BY YOU FAILING TO CORRECTLY FOLLOW INSTALLATION INSTRUCTIONS OR TO HAVE IN PLACE THE MINIMUM SYSTEM REQUIREMENTS ADVISED BY US.
THESE LIMITATIONS ON OUR LIABILITY TO YOU SHALL APPLY WHETHER OR NOT WE HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.
YOU ARE RESPONSIBLE FOR ANY MOBILE CHARGES THAT MAY APPLY TO YOUR USE OF OUR SERVICES, INCLUDING TEXT-MESSAGING AND DATA CHARGES. IF YOU’RE UNSURE WHAT THOSE CHARGES MAY BE, YOU SHOULD ASK YOUR SERVICE PROVIDER BEFORE USING THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, ANY DISPUTE YOU HAVE WITH ANY THIRD PARTY ARISING OUT OF YOUR USE OF THE SERVICES, INCLUDING, BY WAY OF EXAMPLE AND NOT LIMITATION, ANY CARRIER, COPYRIGHT OWNER, ADVERTISER, SPONSOR, PARTNER, OR OTHER USER, IS DIRECTLY BETWEEN YOU AND SUCH THIRD PARTY, AND YOU IRREVOCABLY RELEASE US AND OUR AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES, ACTUAL AND CONSEQUENTIAL, OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.
SOCO AND ITS AFFILIATES WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS CONTRACT FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO SOCO FOR THE SERVICES DURING THE TERM OF THIS CONTRACT, IF ANY, OR (B) US $500.
The limitations of liability in this Section 4 are part of the basis of the bargain between you and Soco and shall apply to all claims of liability, including warranty, tort, negligence, contract, and law, even if Soco or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.
(Summary point): We can each end this Contract, but some rights and obligations survive.
Both you and Soco may terminate this Contract at any time. You may terminate this Contract by closing or deleting your account and no longer accessing or using the Services. On termination, you lose the right to access or use the Services.
The following shall survive termination:
Our rights to use and disclose your feedback;
Members’ and/or Visitors’ rights to retain information you shared with them through the Services;
Sections 4, 6, and 7 of this Contract;
Any amounts owed by either party prior to termination remain owed after termination.
You and Soco agree that the laws of the State of Hawaii, U.S.A., excluding its conflict of laws rules, shall exclusively govern any dispute relating to this Contract and/or the Services. You and Soco both agree that all claims and disputes can be litigated only in the federal or state courts in Honolulu County, Hawaii, USA, and you and Soco each agree to personal jurisdiction in those courts.
If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract.
This Contract, including additional terms that may be provided by us when you engage with a feature of the Services, is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.
If we don’t act to enforce a breach of this Contract, that does not mean that Soco has waived its right to enforce this Contract. You may not assign or transfer this Contract, or your membership or use of Services, to anyone without our consent. However, you agree that Soco may assign this Contract to its affiliates or a party that buys it without your consent. There are no third-party beneficiaries to this Contract.
You agree that the only way to provide us legal notice is at the addresses provided in Section 10.
(Summary point): Soco is a community of connected people. This list of “Dos and Don’ts,” along with our Community Guidelines, limits what you can and cannot do on our Services.
You agree that you will:
Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
Provide accurate information to us and keep it updated;
Use the Services in a respectful manner;
Respect the privacy, boundaries, and safety of other Members and Visitors;
Only message or communicate with other Members in a lawful, respectful, and appropriate manner; and
Report misuse, abuse, or safety concerns when appropriate.
You agree that you will not:
Create a false identity on Soco, misrepresent your identity, create a Member profile for anyone other than yourself, or use or attempt to use another person’s account;
Create an account if you are under the age of thirteen (13), or create an account on behalf of a person under the age of thirteen (13);
Harass, bully, threaten, intimidate, stalk, exploit, abuse, or harm another person;
Send, request, post, or share sexual, explicit, exploitative, abusive, or otherwise inappropriate content, especially involving minors;
Use the Services to pressure, manipulate, coerce, or mislead another user into sharing personal information or communicating outside the Services;
Share or attempt to obtain another user’s phone number, address, email address, social media account, location, private messages, or other personal information without their consent;
Use the Services to impersonate another person or misrepresent your identity, age, school, affiliation, or relationship to another person;
Circumvent or attempt to circumvent Soco’s safety, moderation, reporting, blocking, account restriction, or proximity-based connection features;
Use the Services in any way that creates a safety risk for another Member, Visitor, Soco, or the public;
Develop, support, or use software, devices, scripts, robots, or any other means or processes, including crawlers, browser plugins, add-ons, or any other technology, to scrape the Services or otherwise copy profiles, messages, or other data from the Services;
Override any security feature or bypass or circumvent any access controls or use limits of the Services;
Copy, use, disclose, or distribute any information obtained from the Services, whether directly or through third parties, except as permitted by these Terms;
Disclose information that you do not have the consent to disclose;
Post or transmit anything that contains software viruses, worms, or any other harmful code;
Reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
Imply or state that you are affiliated with or endorsed by Soco without our express permission;
Rent, lease, loan, trade, sell, resell, or otherwise monetize the Services or related data or access to the same;
Deep-link to our Services for any purpose other than to promote your profile or the Services in a manner permitted by Soco;
Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
Monitor the Services’ availability, performance, or functionality for any competitive purpose;
Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;
Overlay or otherwise modify the Services or their appearance, such as by inserting elements into the Services or removing, covering, or obscuring an advertisement, promotion, notice, or feature included on the Services;
Interfere with the operation of, or place an unreasonable load on, the Services, including through spam, denial-of-service attacks, viruses, or gaming algorithms; or
Violate the Community Guidelines or any additional terms concerning a specific Service that are provided when you sign up for or start using such Service.
